With regard to _ Limited Partnership, a _ limited partnership, (the “LP”), the following is required: A. a copy of the LP’s Partnership Agreement, together with any and all amendments thereto; B. a copy of the LP’s Certificate of Limited Partnership; C. a current Good Standing Certificate from the LP’s jurisdiction of formation; D. a Certificate of Authority from the State of Maryland (foreign LP only); and E. joinder by all of the general partners of the LP in the execution and delivery of the instruments required to consummate the transaction which is the subject of this Commitment, or in lieu thereof, evidence that the Partnership Agreement, as amended, establishes the authority of a single identified partner, or less than all of the partners to execute and deliver the same.
